Hello - 

I have formed an One Person Company in the month of June 2016. I've got few questions related to the compliance part. We are into online sales through multiple Marketplaces and also hold a VAT certificate.

  • What are the compliances that we need to follow and also the timelines?
  • How can I file Income Tax for the Company?
  • Since this is an OPC, do I need to file my individual income tax separately?
  • Is Annual filings different from Income Tax filing and what is the due date for the same?

1.Kindly clarify which kind of compliance u r asking income tax or vat or service tax or any other.??

2. In my opinion as it is a company you need to file IT return which is applicable to a company.

3. Yes since both have different PAN No.

4.Did'nt get your question annual fillings are for ROC not for income tax so yes you need to comply with requirement of ROC & income tax as they are applicable to a normal company.

Dear Aarshe 

1. Forms to be filed with ROC by OPC are MGT-7 & AOC-4

2.a)First Annual Filing of the Company is due on the 30th December of the next year from the date of Incorporation and 

  b)Subsequent Annual Filing is due on the 30th September of the same year in which the Financial Year of the Company ends.

Provided if any extension by ROC.

My company was incorporated in the month of June 2016, so that means my first ROC should be filed before Dec 2017?

Although the due date are 30 days from date of AGM for AOC-4 and 60 days for AGM for MGT-7. 

First AGM due date for newly incorporated company is 9month from the year end (Section 96).

So in your case the AGM due date is 31st Dec.So you can file AOC-4 & MGT-7 accordingly.
