I want to file an application with the ROC for seeking the extension of time for holding the annual general meeting of a Private Limited company by three months. The reason is both the shareholders of the company are body corporates registered out of india therefore both of them need time for the completion of necessary formalities in their home countries. So kindly advice whether this would be a sufficient reason for follow up with the ROC.
(Please note that for the financial year 2011-12, the annual general meeting was held on 22nd October, 2012 without seeking the prior extension of time from ROC. The company has presently filed the compounding application for the same with the ROC)
Also let us know the procedure in detail for extension of time with ROC ?

1) DETAILED APPLICATION FOR SEEKING AGM EXTENSION
2) BOARD RESOLUTION OF BODY CORPORATES - IN DETAIL FOR SEEKING AGM EXTENSION
THE ABOVE SIGNED DOCS MAY BE ATTACHED ALONG WITH FORM 61 AND TO BE UPLOADED ON MCA PORTAL.
